Triple Eight and Select combine for ownership of 22.843% in RFM

RFM. Triple Eight Holdings Inc. said in a filing that as a stockholder of RFM Corp. (RFM), it had “no transactions for the month of November 2019.” It still owns 745,157,196 RFM common shares, or 21.55 percent of 3,456,967,658 outstanding RFM common shares.

When computed, its ownership is equivalent to 21.555226 percent, which, when rounded to three decimal places equals 21.556 percent of outstanding.

Like Triple Eight, Select Two Inc. is also an RFM stockholder. As of November, it still holds 44,697,612 RFM common shares, having no trades during the month. Its ownership in the company equals 1.293 percent.

On Dec. 6, 2019, RFM common shares opened trading at P5.40, hit a high of P5.44, fell to a low of P5.40, and closed the day’s session at P5.43. The stock hit a 30-day high and 30-day low of P5.51 and P45.90, respectively.

ICTSI. Jose Ibazeta is one of the seven directors of International Container Terminal Services Inc. (ICT). He sold 10,000 ICT common shares on Dec. 4, 2019 in two trades: 5,000 ICT common shares at P121.50 each; and another 5,000 ICT common shares at P123.30 each. The two sales left him with direct ownership of 2,590,090 ICT common shares, or 0.10 percent. A computation equals 0.129 percent based on 2,000,598,608 outstanding ICT common shares.

On Dec. 4, 2019, ICT common shares opened trading at P122.80, hit a high of P123.80;,dropped to a low of P120.20, and closed the day’s session at P123.30. On Dec. 6, 2019, they opened trading at P118, peaked at P120.90, fell to a low of P118.50, and closed the session at P123.30. The stock hit a 30-day high and 30-day low of P126 and P117.10, respectively.

SM Prime. SM Prime Holdings Inc. (SMPH) has 33,166,300,075 issued common shares of which 4,287,068,381 are treasury shares as of Sept. 30, 2019, according to a public ownership report (POR). By deducting the number of the company’s treasury shares from issued shares, it resulted in the company having 28,879,231,694 outstanding SMPH common shares. It attributed to the public holdings totaling 10,364,170,570 SMPH common shares, or 35.89 percent of outstanding.

With their ownership of more than 4 billion SMPH common shares, the public are the company’s substantial stockholders.

On Dec. 6, 2019, SM Prime common shares opened trading at P40, hit a high of P41.20, dropped to a low of P39.85, and closed the session at P40.80. The stock peaked at 30-day high and fell to a 30-day low of P41.20 and P38, respectively.

Two foreigners. SBS Philippines Corp. has an authorized capital stock (ACS) of 1.55 billion common shares. Of the ACS, seven stockholders own with five Filipinos 1,526,846,092 SBS common shares, or 98.51 percent, according to a general information sheet for 2019. Of the authorized, SBS said it had only two stockholders, the names of which are “not available,” who owned 23,153,907 SBS common shares, or 1.49 percent
PCD Nominee Corp. is the top stockholder of SBS Philippines. It holds 1,526,841,292 common shares, or 98.506 percent, for Filipinos and 23,153,906 common shares, or 1.494 percent, for foreigners.

In a separate filing, that is, in a POR, the company named Anesy Holdings Corp. as direct owner of 1,014,852,295 SBS common shares, or 65.47 percent of 1,549,999,999 outstanding SBS common shares. The same POR credited the public but without directorship with 386,723,010 SBS common shares, or 24.95 percent.

According to the POR, SBS’s nine-person board directly owned 95,946,472 common shares and indirectly held 39,557,377 common shares for total holdings of 135,503,879 common shares, or 8.73 percent. As executives, Lily Sytengco directly owned 2,991,030 SBS common shares.

SBS’ other officers, according to the POR, owned zero while it attributed 9,377,977 common shares, or 0.61 percent, to Swan Insurance Agency Corp. Its 34 employees directly held 551,838 SBS common shares, which represent 0.0356 percent.
